Commercial real estate deals are among the most complex transactions any business can undertake. The mix of financial, regulatory, and operational issues is unique for each project. Newman Ferrara's real estate transactions group, led by attorneys with almost 30 years of experience, handles both commercial and residential real estate transactions, including closings, leasing, sales, acquisitions, and financings.

Our firm represents a broad spectrum of purchasers and sellers of real property, including investment banks, real estate funds, and residential and mixed-use building owners. The scope of our work typically includes preparing and negotiating operating agreements, negotiating and closing acquisition, construction and permanent financing, and structuring transactions from a tax-advantage viewpoint.

Closings and Sales

The firm handles all aspects of residential and commercial property transfers and closes thousands of transactions, including purchases, sales, refinances, bank closings, as well as Consolidation Extension Modification Agreements (CEMAS). Our clients range from individuals and first-time buyers of small cooperative or condominium apartments throughout New York City and the downstate area to individuals and corporate clients refinancing, purchasing and selling multi-million dollar residential, commercial, and mixed-use properties.

The department consists of a well-trained team of lawyers and paralegals with extensive background in conducting "due diligence," contract negotiation, title clearance, and closing. The real estate closing department is well known among real estate attorneys and professionals in New York and frequently provides guidance to others in the real estate community.


Newman Ferrara has represented both national, regional, and local landlords and tenants in a variety of leasing transactions. We handle all types of leases, including commercial leases, ground leases, net leases, loft leases, and sublease agreements. We have provided legal services in connection with the leasing of millions of square feet of commercial, retail, and industrial space.

Leasing transactions increasingly require us to draw on our legal expertise in a number of practice areas beyond traditional landlord tenant law in order to address issues relating to bankruptcy, construction, environmental liability, taxation, governmental compliance, and finance. We take a proactive approach in developing leases to protect our clients from a later problem or dispute.

Acquisitions and Financings

Our lawyers have extensive experience in all aspects of real estate finance. We represent lenders, investors, and borrowers in matters such as straight loans, construction loans, mezzanine loans, acquisitions loans, private equity financing, refinancing, bonds, collateralized mortgage backed securities (CMBS), and non-money loans. The firm is known for developing sophisticated strategies, in addition to effectively using tried-and-true approaches such as multiple-party financing and loan restructuring.

Co-op/Condo Conversion and Representation

The laws controlling cooperative and condominium conversions are complex. Newman Ferrara's attorneys have the expertise to provide all the legal services needed to ensure the success of a conversion. Our attorneys assist with negotiating unit sales contracts and brokerage agreements, clearing title, coordinating and conducting closings, and any other legal issues which might arise related to the ownership, conversion and sale of units.
